Quickly compare Word documents, generate redlines, and analyze changes. At a fraction of the cost of traditional comparison software.
4.1 Invoicing. Supplier shall invoice Buyer monthly for all Products delivered during the preceding calendar month, and each invoice shall reference the applicable Purchase Order number.
4.2 Payment. Buyer shall pay all undisputed amounts set forth in a conforming invoice within thirty (30) forty-five (45) days of receipt of such invoice, by wire transfer to the account designated by Supplier in writing.
4.3 Late Payments. Any undisputed amount not paid when due shall accrue interest at one and one-half percent (1.5%) one percent (1.0%) per month, or the maximum rate permitted by law, whichever is less.
4.4 Disputed Amounts. Buyer shall notify Supplier in writing of any disputed amount within ten (10) business days of the invoice date, and the parties shall negotiate in good faith to resolve such dispute.

Liability narrowed. Supplier’s aggregate liability is now capped at the fees paid in the prior twelve months 3, and the carve-out for unlimited confidentiality liability was removed 4.
